Terms of Service

1. About IdeaExam

IdeaExam is an online business-idea analysis tool. Users can submit descriptions of SaaS, software, app, and other business ideas and receive an automated report designed to help identify potential strengths, weaknesses, risks, assumptions, and validation opportunities.

IdeaExam is operated independently under the IdeaExam name.

2. AI-Generated Analysis

IdeaExam uses artificial intelligence and automated systems to generate portions of its reports. Reports may contain mistakes, incomplete information, outdated assumptions, or incorrect conclusions.

IdeaExam does not guarantee that any analysis, score, recommendation, competitor reference, pricing suggestion, market assessment, or validation strategy is accurate or complete.

The IdeaExam score represents an automated assessment of validation potential. It is not a probability of business success. You are responsible for independently verifying information before making business decisions.

3. No Professional Advice

IdeaExam provides informational and educational material only. Nothing provided by IdeaExam constitutes financial, investment, legal, tax, accounting, or other professional advice. You should consult an appropriate professional when professional advice is required.

4. No Guarantee of Business Success

Business outcomes depend on many factors that IdeaExam cannot observe or predict. A high score does not mean a business will succeed, and a low score does not mean a business will fail.

IdeaExam does not guarantee revenue, profitability, customer demand, funding, market adoption, or any other business outcome. You remain solely responsible for deciding whether and how to pursue an idea.

5. Purchases

IdeaExam currently offers access to a full report for a one-time payment displayed at checkout. The current standard price may be $4.99 USD, but prices may change for future purchases.

A purchase is not a subscription and does not create recurring charges unless IdeaExam clearly introduces and you separately agree to a recurring product in the future. Payment processing is provided by Stripe.

6. Access to Purchased Reports

After successful payment, the corresponding report is unlocked through its report URL. You are responsible for keeping your report URL reasonably secure. Anyone who obtains access to a report URL may potentially be able to view the report.

You should save the report URL after purchasing access. We may modify the way reports are stored or accessed as the service develops.

7. Refunds

If you are charged but cannot access the purchased report because of a technical problem with IdeaExam, contact support@ideaexam.com.

We will investigate legitimate billing or access problems and, where appropriate, restore access or issue a refund.

Because the full digital report is made available immediately after purchase, refunds are not automatically provided merely because you disagree with the analysis, score, conclusions, or recommendations, except where required by applicable law.

Nothing in these Terms limits any refund, cancellation, or consumer-protection rights that cannot legally be excluded.

8. Your Content

You retain your rights in the business ideas and other content you submit to IdeaExam. You give IdeaExam permission to process, transmit, store, and use submitted content only as reasonably necessary to operate, secure, maintain, and provide the service and generate your requested reports.

Submitting an idea does not transfer ownership of that idea to IdeaExam. Do not submit content that you do not have the right to use or disclose.

Because IdeaExam relies on third-party infrastructure and AI providers, you should not submit trade secrets or highly confidential information unless you are comfortable with that information being processed by those providers.

9. Acceptable Use

You may not use IdeaExam to:

• violate applicable law;
• interfere with or disrupt the service;
• bypass rate limits, payment restrictions, or access controls;
• attempt unauthorized access to IdeaExam systems or other users' reports;
• use automated systems to abuse or overload the service;
• introduce malicious code; or
• use the service in a way that infringes the rights of others.

We may restrict or block access when reasonably necessary to protect IdeaExam or its users.

10. Intellectual Property

The IdeaExam website, branding, interface, software, report presentation, and other materials created by IdeaExam are protected by applicable intellectual-property laws. These Terms do not transfer ownership of IdeaExam's software, branding, or other intellectual property to you.

Your submitted idea remains yours as described in Section 8.

11. Availability and Changes

IdeaExam is an early-stage service and may change over time. Features may be added, changed, suspended, or removed. We may also perform maintenance or experience interruptions.

We do not guarantee uninterrupted or error-free availability. Where reasonably possible, we will attempt to avoid changes that unnecessarily prevent customers from accessing recently purchased reports.

12. Third-Party Services

IdeaExam relies on third-party services, including payment, artificial intelligence, hosting, and infrastructure providers. Those services may be governed by their own terms and privacy policies.

IdeaExam is not responsible for third-party services beyond the extent required by applicable law.

13. Disclaimer of Warranties

To the maximum extent permitted by applicable law, IdeaExam is provided on an "as is" and "as available" basis. We do not make warranties that the service will be uninterrupted, error-free, or suitable for a particular business decision or purpose.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

14. Limitation of Liability

To the maximum extent permitted by applicable law, IdeaExam and its operator will not be liable for indirect, incidental, special, consequential, or similar losses arising from your use of the service or reliance on a report, including lost profits, lost business opportunities, or business decisions made using the service.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

15. Privacy

Your use of IdeaExam is also governed by the IdeaExam Privacy Policy.

16. Changes to These Terms

We may update these Terms as the service develops. The updated version will be posted on IdeaExam with a revised "Last updated" date. Material changes will apply prospectively where required by applicable law.

17. Governing Law

These Terms are governed by the laws applicable in the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Nothing in this section limits consumer rights or protections that apply to you under mandatory law.
